What the certificate confirms

The Certificate of Good Standing attests to the company’s legal standing with the Cayman Islands General Registry at the date of issue. This means its annual returns and fees are current. It does not, by itself, confirm the company’s operational status; a separate certificate of existence or a company search report is used to confirm whether a company is active, dissolved, or otherwise.

When it is typically requested

Banks routinely request a Certificate of Good Standing as part of their know-your-customer and anti-money-laundering due diligence before opening or maintaining a corporate account.

In addition, counterparties often request one before entering into financing agreements or significant cross-border transactions.

Only registered legal entities such as exempted companies or Cayman Islands LLCs can obtain one. Sole proprietorships and unregistered partnerships are not eligible.

How to obtain one

The certificate is requested through the Cayman Business Portal (CBP) if the company has no corporate services provider acting as its registered office, or through the registered office provider’s own portal if it does. Only the company’s principals, directors, officers, or their authorised representatives can request it, and the online option will not appear if the company is not currently in good standing with the Registrar.

Validity and verification

A Certificate of Good Standing issued by the Cayman Islands Registrar has no fixed expiry date, but institutions generally expect one issued within the last 30 days. Every certificate carries an authentication code, issue date, and website reference that can be verified at verify.ky.

Because the certificate reflects the company’s status only at the moment it is issued, it is worth confirming your annual filings are current before requesting one. Otherwise the request will simply identify the gap.
